These terms cover how you can use Axsail, what you are responsible for and what we are responsible for.
01The agreement
These terms are an agreement between you and Axsail (“Axsail”, “we”, “us”). Axsail is not yet incorporated. Until a company is formed, Axsail's founders are the other party to these terms. When the company is formed, it takes over this agreement and we will tell you by email. They apply when you use our websites, take part in a pilot or use the Axsail inspection service (the “Service”).
You accept them when you start a pilot, sign an order form that refers to them or use the Service. If you accept on behalf of a company, you confirm that you can bind it, and “you” means that company and the people it lets use the Service.
If you sign an order form or a separate agreement with us, that document takes precedence where it differs from these terms.
02What the Service does
You dictate an inspection into a supported wearable, currently Bee. The Service turns your speech into structured findings with a location, measurement and suggested severity, tracks checklist coverage, asks you follow-up questions and produces a draft report. You review the draft, edit it and sign it off.
03Pilots
A pilot lets you use the Service on your own surveys before you commit to anything. We agree its length and the number of users with you when we set it up. Unless we agree otherwise in writing, a pilot is free and you are under no obligation to buy afterwards.
You keep every report you produce during a pilot. We may change a pilot's features or end it early, and we will give you at least 7 days to export your reports. Pilots are provided “as is”, without the commitments in section 13.
04Paid plans
If you move to a paid plan, the price, billing period, renewal and notice period are set out in the order form or quote we agree with you. Prices exclude VAT and other taxes, which you pay where they apply. We give at least 30 days' notice of a price change, and it applies from your next billing period.
05Accounts and your Bee connection
Keep your login details private and tell us straight away if you think someone else has used them. You are responsible for what happens under your account and for the people you let use it.
The Service needs your own Bee device and Bee account, which Amazon provides under its own terms. We are not responsible for Bee's availability, its recording or its transcription. When Bee mishears something or stops sending transcripts, the Service can only work with what it receives.
06Recording responsibly
You are responsible for recording lawfully. In particular, you must:
have the owner's or operator's permission to inspect the vessel
tell the people around you that you are recording, and get their consent where the law requires it
keep your Bee connected only when you are willing for its transcripts to reach the Service
not record conversations you have no right to record
Bee captures every voice near you. The Service is built to turn only statements about the vessel into findings, but it cannot guarantee that another person's words never appear in a transcript or a draft.
07AI drafts and your professional judgement
Findings, severity, checklist status and report text are produced by AI from a transcript. They can contain errors, omissions and misheard words. Everything the Service produces is a draft until you confirm it.
Review every finding before you sign a report.
A suggested severity is a suggestion. The severity in the report is the one you confirm.
You are responsible for the content of every report issued in your name and for meeting the professional standards that apply to you.
Axsail does not inspect vessels and does not judge seaworthiness, value, insurability or liability. Visual evidence and comparisons on evidence.axsail.com document condition and do not decide who is responsible for a change.
08Your content
You own your transcripts, inspection content and reports. You give us permission to host, copy, process and transmit them, including to the providers listed in our Privacy Policy, only as needed to provide, support and secure the Service.
We do not use your content to train AI models. We may use counts and timings that contain none of your content, such as the number of findings per inspection or response times, to improve the Service.
You confirm that you have the right to give us this content and that our use of it under these terms will not break any law or anyone else's rights.
09What you may not do
resell, rent or share access to the Service with people outside your organisation
copy, modify or reverse engineer the Service, except where the law allows it
use the Service to build a competing product
break or test its security, or overload it
use it for anything unlawful, including recording people unlawfully
remove our notices or publish benchmark results without our written permission
10Our property
The Service, our websites, our software, checklists and report templates belong to Axsail and its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your pilot or subscription is active. If you send us feedback, we may use it without owing you anything.
11Other providers
The Service relies on other providers, including Bee (Amazon) for recording and transcription and Anthropic for AI processing. Their own terms apply to your use of their products. We are not responsible for products we do not provide.
12Suspension and ending
You can stop using the Service at any time. A paid plan ends at the end of the billing period, unless your order form says otherwise.
We may suspend or end your access if you seriously breach these terms and do not put it right within 14 days of our notice, if you do not pay, or straight away if your use puts the Service, other users or the law at risk.
When your access ends, you have 30 days to export your reports. After that we delete your content as set out in our Privacy Policy. Sections 7, 8 and 13 to 18 continue to apply.
13What we promise
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is”. We do not promise that it will be uninterrupted or error-free, or that AI drafts will be accurate or complete.
We are not responsible for failures caused by your devices, your internet connection or events outside our reasonable control.
14Limits on liability
Neither of us is liable for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss.
Our total liability under these terms in any 12 months is limited to the greater of EUR 100 and the fees you paid us for the Service in the 12 months before the claim.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
15Claims about your reports
You will cover our reasonable costs if a third party brings a claim against us about a report you issued or about recordings you made in breach of section 6.
16Naming you as a customer
We will name you or show your logo as a customer only with your written permission.
17Disputes and governing law
If we disagree about anything under these terms, we will first try to settle it by talking. Email hello@mail.axsail.com and we will reply within 14 days.
Until Axsail is incorporated, these terms are governed by the law of the country where you are established, and its courts can hear any dispute. When the company is formed, we will name the governing law and courts here.
18General
These terms and any order form are the whole agreement between us about the Service.
If a court finds part of these terms unenforceable, the rest still applies.
If we do not enforce a right straight away, we can still enforce it later.
You may not transfer these terms without our consent. We may transfer them to a company that takes over Axsail's business.
No one else has rights under these terms.
19Changes to these terms
We may update these terms. We will post the new version here, and if a change reduces your rights, we will email customers at least 30 days before it applies. If you keep using the Service after that, the new terms apply.
